Terms of Service

By accessing crawdly.com, signing up for the Crawdly waitlist, or using any Crawdly service, you agree to be bound by these Terms of Service (“Terms”). If you do not agree, please do not use Crawdly.

These Terms constitute a legally binding agreement between you and Sky Ventures ApS (“we”, “us”, “Crawdly”).

Crawdly is an AI-powered marketing application for Shopify stores. It connects to your Shopify store, reads your product catalog, and generates Meta ad campaigns (Facebook and Instagram) and personalized email marketing campaigns on your behalf.

Crawdly is currently in closed beta. Features and availability may change before and after the general launch on 10 March 2025.

By joining the Crawdly waitlist, you:

• Consent to receive email updates about Crawdly's launch and early access programme.
• Understand that joining the waitlist does not guarantee access to the service.
• Acknowledge that waitlist positions are non-transferable.

Early adopters who join before the official launch date of 10 March 2025 will receive their first month of Crawdly free of charge. This offer is subject to change and applies only to the first billing cycle.

Crawdly is offered as a monthly subscription:

• Price: 299 DKK per month, excluding VAT where applicable.
• Billing cycle: Monthly, billed on the same day each month from your first payment date.
• Payment: Payment details will be collected through our payment processor at the time of subscription activation.
• Cancellation: You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. No refunds are issued for partial months.
• Price changes: We reserve the right to change our pricing. We will give at least 30 days' notice before any price increase takes effect. Early adopters who joined the waitlist before launch have their rate locked in for 12 months.

You agree to use Crawdly only for lawful purposes and in accordance with these Terms. You must not use Crawdly to:

• Generate advertising or marketing content that is false, misleading, or deceptive.
• Violate Meta's advertising policies, Shopify's terms of service, or any applicable law.
• Distribute spam, unsolicited bulk email, or any communications prohibited under applicable anti-spam legislation (including the Danish Marketing Practices Act).
• Reverse engineer, copy, or create derivative works based on Crawdly.
• Share your account credentials with third parties.
• Use Crawdly to promote illegal goods or services.

We reserve the right to suspend or terminate your account if we determine, at our sole discretion, that you have violated these terms.

Crawdly connects to Shopify and Meta (Facebook/Instagram) on your behalf. By using these integrations, you:

• Authorise Crawdly to access your Shopify store data (products, orders, collections) solely to provide the service.
• Authorise Crawdly to create and publish ad campaigns to your connected Meta Business account.
• Remain responsible for all content published via Crawdly to third-party platforms. Crawdly is a tool — you are the advertiser.

Crawdly is not responsible for downtime, policy changes, or service interruptions at Shopify, Meta, or any other third-party provider.

The Crawdly platform, including its software, design, logo, and the Crawdly mascot, is owned by Sky Ventures ApS and protected by applicable intellectual property laws.

The content generated by Crawdly (ad copy, email text, campaign structures) based on your store data is owned by you. We do not claim ownership over outputs generated using your data.

You grant Sky Ventures ApS a limited licence to access and process your store data solely for the purpose of delivering the Crawdly service.

Crawdly is provided “as is” and “as available” without warranties of any kind, either express or implied. We do not guarantee that:

• The service will be uninterrupted, error-free, or available at all times.
• AI-generated marketing content will achieve specific business results (clicks, conversions, revenue).
• The service will meet your specific requirements.

Marketing results depend on many factors outside our control, including your industry, budget, audience, and market conditions.

To the maximum extent permitted by Danish law, Sky Ventures ApS shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, or business interruption.

Our total liability to you for any claim arising out of or related to these Terms or the service shall not exceed the total amount you paid to us in the 3 months preceding the claim.

These Terms are governed by the laws of Denmark. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the Danish courts, with the Copenhagen City Court (Københavns Byret) as the court of first instance.

We may update these Terms from time to time. We will notify you of material changes by email at least 14 days before they take effect. Continued use of Crawdly after that date constitutes acceptance of the updated Terms.
